Sale Policy

1. Subject: These General Sales Conditions apply to all sales contracts between Rubinetterie F.lli Frattini S.p.A., also referred to as the Seller, and its customers, also referred to as Buyers and/or Purchasers unless otherwise agreed in writing between the parties. Therefore, sales conditions deviating from these provisions will have no effect unless resulting from a written agreement signed by both parties. It is specified that Rubinetterie F.lli Frattini S.p.A. cannot be bound in any way by obligations and/or commitments and/or statements of any kind made by its employees or agents.

2. Order: In accordance with these General Sales Conditions, the sales contract will be deemed concluded, and, as such, effective and binding between the parties when Rubinetterie F.lli Frattini S.p.A., upon receiving the customer's order, confirms it by sending the Sales Confirmation. If, after the order has been confirmed, the Seller becomes aware of protests, seizures, attachments, or any prejudicial acts against the Buyer or it becomes known that the Buyer is in financial difficulty, the Seller may, at its discretion, suspend the contract and demand specific guarantees or terminate the contract for the Buyer's non-compliance, under Article 1456 of the Italian Civil Code, by means of a communication to be sent by registered letter with return receipt or via certified email. All offers from the Seller, both direct and indirect, are considered non-binding and subject to prior sale.

3. Prices: The unit prices listed in the catalog are exclusive of VAT and are expressed in Euros. Prices are for goods delivered free from the Rubinetterie F.lli Frattini S.p.A. establishment in San Maurizio d'Opaglio. Quoted prices are subject to change and cannot be considered binding for subsequent orders. The goods are sold at the price in effect on the date of the order confirmation. If the Buyer decides not to receive the products on the agreed-upon date of preparation and delivery, or if preparation or actual delivery is not possible due to reasons beyond the Seller's control, the prices, if not already specified in the order, will be subject to variations in Rubinetterie F.lli Frattini S.p.A.'s price list and, in any case, to material and labor variations that occur from the time of product preparation until the Buyer's withdrawal. Taxes, duties, expenses related to the issuance of bank drafts, or any regularization of the contract are the responsibility of the Buyer.

4. Delivery: The delivery terms are indicative and not essential. Failure by Rubinetterie F.lli Frattini S.p.A. to meet the indicated delivery terms does not give the Buyer the right to cancel the order, defer payments, claim compensation, make set-offs, demand penalties, or damages of any kind. Rubinetterie F.lli Frattini S.p.A. will be released from any liability in cases where the failure to meet delivery terms is a consequence of force majeure (such as raw material shortages, machinery breakdowns, strikes, closures, transportation interruptions, or delays), the Buyer's failure to meet payment terms, the Buyer's requests for changes to the order and/or variations in product types and/or quantities, extensions and/or delays beyond the agreed delivery terms as set forth in writing.

5. Delivery Method: The goods travel at the risk and peril of the Buyer, even if the shipment is made carriage paid. Rubinetterie F.lli Frattini S.p.A. disclaims all responsibility for delays, malfunctions, damage, breakage, or any other harm caused directly or indirectly by the carrier. Shipment will be made in the manner deemed most appropriate, and this cannot give rise to any claims. Packaging is invoiced at cost and is considered non-returnable; it is carried out by specialized personnel using customary methods, according to the quality of the goods, without assuming responsibility for any improper use of the packaging. Specifically, no refunds, replacements, and/or credits will be granted for damage, breakage, or other issues since each shipment is considered executed on behalf of and on the Buyer's order. Any requests or complaints by the recipient regarding the above and also in the case of delays or misunderstandings must be addressed directly to the responsible carriers. The verification of the goods must be carried out by the Buyer upon delivery, and any complaints will be considered only if made by registered letter and/or certified email within eight days from the date of receipt of the goods.

6. Payment Terms and Methods: Payment terms and methods are agreed upon in advance in the Buyer's order and stated on the invoice; these terms are considered mandatory. Any changes not previously and expressly agreed in writing will not be accepted. Only payments of invoices made at Rubinetterie F.lli Frattini S.p.A.'s registered office in San Maurizio d'Opaglio are valid and liberating, unless special deferred payment arrangements are made. Any other payment, however made, is entirely at the Buyer's risk, peril, and expense. In case of late payment, the Buyer will be required to pay Rubinetterie F.lli Frattini S.p.A. interest on arrears at the rate of the European Central Bank, plus a surcharge, in accordance with Article 5 of Legislative Decree no. 231/2002. The acceptance of bills of exchange or checks payable in other locations is an exclusive benefit granted to the Buyer and does not constitute a waiver of the aforementioned, meaning that payments are valid and liberating only if made at the Seller's registered office. Rubinetterie F.lli Frattini S.p.A. reserves the right to suspend deliveries or cancel any orders already accepted if payments are not made within the agreed-upon terms, without prejudice to any further action to protect its interests. Any disputes of any kind do not give the right to defer or suspend payments. Goods delivered to the Buyer remain the property of Rubinetterie F.lli Frattini S.p.A. until full payment of the agreed-upon amounts.

7. Catalogs and Illustrations: The illustrations in catalogs, brochures, advertisements, and any illustrative material, including the Rubinetterie F.lli Frattini S.p.A. website, are intended to present and describe individual items and do not constitute an obligation of faithful execution. Therefore, Rubinetterie F.lli Frattini S.p.A. is exempt from any and all liability and/or obligation in this regard. Rubinetterie F.lli Frattini SpA reserves the unilateral right, without obligation of notice, to make, at its discretion, changes to products, technical data to optimize production, without any obligation to modify or replace previously supplied or ordered products, as well as commercial information. The images, details, and measurements are indicative of the product and not binding.

8. Material: All products are subjected to verification by Rubinetterie F.lli Frattini S.p.A. and checked before being offered for sale. In the case of errors or manufacturing defects reported by registered letter and/or certified email within eight days from the delivery date and recognized by Rubinetterie F.lli Frattini S.p.A. as such, the company undertakes to replace the defective goods free of charge as soon as possible, carriage paid to the buyer's premises, who must return the defective goods at his own expense to the San Maurizio d'Opaglio office. Rubinetterie F.lli Frattini S.p.A. reserves the right to accept the return only if the replacement is previously authorized.

9. Warranty: All products of Rubinetterie F.lli Frattini S.p.A. are rigorously tested and inspected before being offered for sale, and their conformity to specifications is guaranteed for a period of 5 years from the date of the first purchase. Catalog products in finishes different from chrome are guaranteed for a period of 2 years. The warranty for defects in material or workmanship attributable to production includes the following defects: casting defects, porosity, chrome defects, or functionality defects. The warranty includes the repair or replacement of the identified defective part after verification by technicians authorized by Rubinetterie F.lli Frattini S.p.A. and upon presentation of the control coupon and suitable fiscal documentation (invoice or purchase receipt) proving the purchase date. Additionally, it is reminded that the warranty follows European Standards. The warranty lapses if:

a. the product has been used outside the operating conditions indicated by the Seller, such as the exclusive use of the tap as a device to intercept and regulate the water flow installed at the end of domestic pipes;

b. the material has been modified or manipulated by a person not authorized by Rubinetterie F.lli Frattini S.p.A.;

c. deterioration is due to the normal wear of consumable components such as diverters, gaskets, seals, ceramic cartridges, thermostatic cartridges, and flexible hoses;

d. there are aesthetic defects such as scratches, stains, dents, or any other nature not communicated before the product installation;

e. the product has been improperly installed by unqualified personnel or without adhering to the assembly instructions provided;

f. the defects are attributable to the improper use or treatment of the product;

g. the defects result from omitted or inadequate maintenance;

h. the defects result from aggressive environmental conditions and/or external agents such as lime deposits or alterations due to ice and/or sand, iron scoria, impurities of any kind and/or bodies present in pipes and/or in the water or from lightning overvoltages and overcurrents, inadequate or irregular power supply (electronic faucets);

i. the surface deterioration is attributable to the use of aggressive cleaning products containing acids or abrasive substances, limescale removers, powdered detergent products, bleach, hydrochloric acid, acetic acid or vinegar, sulfuric acid, sodium products, formic acid, acetone and turpentine, or if the deterioration is due to hair dye, household disinfectants, silver or ceramic cleaning products. The duration of finishes is also determined by the good care and delicate use by the user. It is strongly recommended to clean surfaces with water and mild soap, using a soft cloth; The warranty is limited to the repair or replacement of defective products, with the absolute exclusion of any liability for damages directly or indirectly caused by the use of the product to persons, property, or animals following as a result, the suspension of use or malfunction of the product may occur. Additionally, compensation for the assembly or disassembly of the product, travel expenses, and costs of technical interventions by authorized personnel are excluded.

10. Returns: Rubinetterie F.lli Frattini S.p.A. undertakes to replace defective goods only if they are returned in good condition and packaged in the original packaging as indicated below: a. Returns must be previously authorized by Rubinetterie F.lli Frattini S.p.A. through a form to be requested at the email address: ordini@frattini.it b. Each return authorization will be identified by a reference number, and all products authorized for return must be sent at the sender's expense. c. The following will not be considered: returns packaged inappropriately to prevent damage during transportation, disassembled products, dirty products. Rubinetterie F.lli Frattini will examine each case individually and assess whether the conditions for the operation of this warranty exist, reserving the right to deny repair or replacement if there are reasons for exclusion. If the defects declared in the form are not found, the Seller will notify the Buyer, and the products will remain available for 30 days from the date of notification. After the 30 days, the products will be scrapped.

11.Use of the Trademark: The Buyer acknowledges that the company, trade name, and trademarks, and in any case, any rights of industrial property, registered, used, and/or attributable to Rubinetterie F.lli Frattini S.p.A., are exclusively owned by the same.. The Buyer cannot assert rights or ownership in relation to the company, brand, trademarks, and in any case, any rights of industrial property, the use of which is also prohibited in any way and in any form, including but not limited to, on products, catalogs, and brochures, in advertising and promotional materials, on the Internet, and social media, without the prior written consent of Rubinetterie F.lli Frattini S.p.A. This applies directly or indirectly, through an intermediary, company, and/or entity. The offline and online use of industrial property rights, especially trademarks owned by Rubinetterie F.lli Frattini S.p.A., as well as texts, descriptive sheets, and images (including photographs), audio and video content, and product illustrations (hereinafter, collectively referred to as "Product Graphics") transmitted by Rubinetterie F.lli Frattini S.p.A. – or acquired by the Buyer – solely for the purpose of allowing the resale of these products by the Buyer, where permitted, will take place in accordance with the guidelines established by Rubinetterie F.lli Frattini S.p.A. and, in any case, in accordance with applicable regulations, including those relating to intellectual and industrial property and advertising. Trademarks, images (including photographs), and illustrations of products used both offline and online by the Buyer must be accompanied by a specific indication indicating that they are the property of Rubinetterie F.lli Frattini S.p.A. The use, where permitted, both offline and online, of the Rubinetterie F.lli Frattini S.p.A. trademark by the Buyer must always comply with the font, size, proportions, colors, and graphics specified by Rubinetterie F.lli Frattini S.p.A. Notwithstanding the above, regarding the online use of the Rubinetterie F.lli Frattini S.p.A. trademark and the Product Graphics marketed by Rubinetterie F.lli Frattini S.p.A. on Facebook, Instagram, Twitter, LinkedIn, and/or other social networks attributable to the Buyer, the Buyer also undertakes to comply with the following additional requirements: • The trademark and Product Graphics (and, in any case, any name, image, and/or text identifying the company or products marketed by the same) must be displayed on the Dealer's social pages in an appropriate and suitable manner for the prestige of the products manufactured and marketed by Rubinetterie F.lli Frattini S.p.A.; • By signing acceptance of these General Sales Conditions, the Buyer undertakes to diligently monitor their social network pages to avoid the publication and/or permanence of any comments and/or other content (for example, audio and/or video) that is denigratory, defamatory, discriminatory, insulting, offensive, and/or obscene, and, in particular, any posts, comments, and/or content that may, directly and/or indirectly, undermine the prestige of the Rubinetterie F.lli Frattini S.p.A. brand and/or harm the products and image of Rubinetterie F.lli Frattini S.p.A. In case of the publication of such comments and/or content, the Buyer undertakes to promptly take action to have the aforementioned comments and/or content removed and/or blocked from their social pages and to immediately inform Rubinetterie F.lli Frattini S.p.A. of the incident, for all initiatives that the latter deems appropriate to undertake. Rubinetterie F.lli Frattini S.p.A. reserves the right, in any case, to revoke, at any time and without notice, upon simple written communication to the Buyer, the authorizations granted to the Buyer for offline and/or online uses of the Product Graphics and the Rubinetterie F.lli Frattini S.p.A. trademark.

12. Jurisdiction: Any possible dispute related to the application, execution, or interpretation of the contract and/or these General Sales Conditions will be subject to the exclusive jurisdiction of the Novara Court. EDITION 2023.1 - This price list cancels and replaces the previous ones.

CLEANING AND MAINTENANCE

It is recommended to use ONLY water and mild soap for cleaning, using a clean and soft non-microfiber cloth. Rinse with water until all soap residues are completely eliminated and dry the fittings thoroughly. It is advised to dry faucets, showerheads, and accessories after each use and remove residues of liquid soap, toothpaste, shampoo, shower gel, etc., which may damage the surfaces.
